Registering a Thai limited company with the Department of Business Development typically takes three to five business days from the point when all required documents are submitted and accepted. The process involves preparing and filing the memorandum of association, the articles of association, the shareholder list, and the initial director appointments. Document preparation on our side takes one to three business days depending on how quickly we receive the necessary information from you. Following registration, obtaining a company tax ID from the Revenue Department takes an additional one to two days. VAT registration, if required, adds seven to fifteen business days.
There is no statutory minimum paid-up capital for most Thai limited companies. However, capital requirements vary by purpose, and practical considerations apply. For companies employing foreign nationals under work permits, the standard requirement is THB 2 million in registered capital per foreign employee. This is enforced by the Labour Department and must be reflected in your corporate bank account and balance sheet. For businesses requiring a Foreign Business License, higher capital thresholds may apply. We advise on the appropriate capital level for your specific business type during the initial consultation, at no charge.
Under the Foreign Business Act, most business categories in Thailand require at least 51 percent Thai ownership. However, full or majority foreign ownership is possible through specific legal structures or promotional schemes. Businesses granted BOI promotion may receive approval for up to 100 percent foreign ownership. A Foreign Business License may also allow majority or full foreign ownership in some regulated categories. American citizens benefit from the US-Thailand Treaty of Amity, which allows full ownership in most business categories. VAT registration becomes mandatory in Thailand when your business revenue crosses THB 1.8 million in any 12-month period. Once you exceed this threshold, you are legally required to register for VAT within 30 days of reaching it. Failure to register on time results in the Revenue Department treating all revenue from that point as VAT-inclusive — a financially harmful outcome. After registration, you must file monthly VAT returns (PP.30) and charge 7 percent VAT on all taxable sales. We handle the full PP.01 VAT registration process and advise on timing if you are approaching the threshold.
Yes. Thai law requires every registered company to have a physical office address in Thailand as its registered office. This address is listed on the company certificate and all official documents. It must be a legitimate physical location — a PO Box or virtual address does not qualify. The registered address can be a serviced office, a rented commercial space, or in some cases a residential address.
